IDT Entertainment Acquires Manga Entertainment Company Gains Extensive Library of Japanese Animation Programming

Newark, N.J. May 13, 2004 – IDT Entertainment today announced it has signed an agreement to acquire Manga Entertainment, a film company specializing in the production, distribution and worldwide marketing of Japanese animation or “anime” for home video releases, theatrical, and television broadcast. “Anime,” a form of animation developed in Japan, is derived from and styled after Japanese comic books. IDT Entertainment is a subsidiary of IDT Corporation (NYSE: IDT, IDT.C), a multinational carrier, telephone and technology company.

Established in 1991 in London, UK, Manga Entertainment is one of the largest distributors of Japanese “anime” outside of Asia, with rights to over 300 titles. Over the last 10 years, the company has played an important role in establishing the market for “anime” in Europe and the United States. In 2003, the worldwide market for anime, including theatrical, broadcast television and direct to consumer products was estimated at over 2 billion dollars.

“In a little more than two years IDT Entertainment has established itself as a worldwide entertainment leader,” said Jim Courter, IDT’s CEO. “IDT Entertainment leads the world in primetime broadcast animation programming, and is quickly emerging as a top producer of animated feature films. Now, with the acquisition of Manga Entertainment, IDT Entertainment has a foothold in the hottest genre of “anime” style projects coming out of Asia. It will allow IDT Entertainment to develop and co-produce new titles for worldwide broadcast and distribution.”

Manga Entertainment gained international acclaim with its co-production of the Japanese animated sci-fi thriller “Ghost in the Shell,” the first and only Japanese animated film to reach No. 1 on the Billboard Top Video Sales Chart. “Ghost in the Shell” won awards at The World Animation Festival for Best Theatrical Film and for Best Director of a Theatrical Feature Film. A new, related television series has been scheduled to air late 3rd quarter of 2004 on the Cartoon Network. In the past seven years, the US division of Manga Entertainment has released over 200 titles on DVD and VHS into U.S. retail and rental stores, with over 100 titles currently active.

“With the acquisition of Manga, IDT Entertainment instantly moves into the top rank of ‘anime’ distribution companies,” said Morris Berger, CEO of IDT Entertainment. “’Anime’, along with 3-D Computer Generated (CG) animation, is driving the worldwide growth and popularity of animation. With this acquisition we gain a library of popular titles in an important genre that will add significant strength to Anchor Bay’s position in the marketplace as a leading video distribution company. IDT Entertainment is one of the few animation companies with the depth, resources and technology to develop and market properties worldwide.”

IDT Corporation Announces Reorganization of Winstar/IDT Solutions

Newark, N.J., May 12, 2004 – IDT Corporation (NYSE: IDT, IDT.C), a multinational communications company, today announced a reorganization of its Winstar/IDT Solutions division. As part of the reorganization, the division plans to discontinue the provision of retail communications services to commercial customers in the markets it currently serves*. The discontinuance applies to retail commercial customers; it does not negatively affect services to wholesale customers, including cable telephony customers, nor does it affect federal government customers and state contract customers, whose services will be preserved.

The division’s assets will be redirected towards providing private line services, wholesale services and spectrum leasing to telecommunications companies and mobile and fixed line carriers, as well as backhaul services.

“We recognize that the future of telecommunications is quickly moving away from traditional wired service towards new technologies,” said Howard Jonas, IDT’s Chairman. “Winstar/IDT Solutions’ fixed wireless assets and technology are perfectly positioned to play a critical role in the development of these technologies, including WiFi and cellular backhaul.”

Fixed wireless technology provides a flexible and cost effective “last mile” solution for voice and data traffic. In addition, fixed wireless provides essential “backhaul” services needed by cell phone operators, and WiFi providers for their telephony products.

“This reorganization directs Winstar/IDT Solutions’ assets to the sectors of the telecom marketplace with the greatest potential for growth,” said Jim Courter, IDT’s CEO. “We are aggressively pursuing agreements with other carriers and cellular companies as well as integrating Winstar/IDT Solutions’ assets into IDT’s recently announced WiFi phone service.”

The reorganization will achieve significant cost reductions through the elimination of unprofitable business services and staff reductions, and is expected to cut the division’s losses significantly. In addition, Winstar’s assets will be integrated into IDT Telecom’s U.S. network, resulting in greater network efficiency and reduced capital expenditures.

IDT expects that the total cost of this reorganization will be approximately $50 million, of which approximately $25 million previously has been accrued for or reserved. IDT expects that by the end of the first quarter of fiscal 2005, IDT Corporation, as well as each of its three subsidiaries, IDT Telecom, IDT Entertainment and the newly formed IDT Menlo Park division will be generating positive cash flow from operations. IDT’s Menlo Park division is comprised of IDT Media, Horizon Global Trading, Approach and IDT Energy.

IDT Corporation is a multinational communications company. IDT’s primary telecommunications offerings are prepaid and rechargeable calling cards, wholesale carrier services and consumer and business local and long distance phone services. IDT’s entertainment business is comprised of complementary operations and investments that enable IDT to acquire, develop, finance, produce and distribute animated and other entertainment content. IDT also operates various media-related businesses including brochure distribution and radio operations. IDT Corporation’s Class B common stock and common stock trade on the New York Stock Exchange under the ticker symbols IDT and IDT.C, respectively.

In this press release, all statements that are not purely about historical facts, including, but not limited to, those in which the words “will,” “anticipate,” “expect,” “seek,” “intend,” “estimate, “target” and similar expressions are used, are forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. While these forward-looking statements represent IDT’s current judgment of what may happen in the future, actual results may differ materially from the results expressed or implied by these statements due to numerous important factors. Such factors include, but are not limited to: competition and pricing pressures in the telecommunications markets; IDT Solutions’ ability to successfully market its fixed wireless assets and technology to the WiFi and cable telephony markets; unexpected costs that may be incurred in scaling back IDT Solutions’ network, services and operations; and those factors described in IDT’s most recent report on SEC Form 10-K (under the heading “Management’s Discussion and Analysis of Financial Condition and Results of Operations”), which may be revised or supplemented in subsequent reports on SEC Forms 10-Q and 8-K and other filings IDT may make with the SEC.

“Spawn” Lives – IDT Entertainment and Todd McFarlane Productions Bring Back Ground Breaking Animated Series “Todd McFarlane’s Spawn: The Animated Series,” Lead Project of Multi-faceted Production and Development Agreement

Newark, N.J. and Tempe, AZ – May 12, 2004 –IDT Entertainment and Todd McFarlane Productions (TMP) today jointly announced a multi-faceted development, production, and distribution agreement to produce animated programming and merchandise based on Spawn and other TMP original intellectual properties. Todd McFarlane Productions is best known for its multiple Emmy-winning Spawn franchise. IDT Entertainment is a vertically integrated entertainment/animation company. The company includes animation and film production through DPS/Film Roman, Mainframe Entertainment, and DKP Effects, and video distribution through Anchor Bay Entertainment. IDT Entertainment is a subsidiary of IDT Corporation (NYSE:IDT, IDT.C.), a multinational carrier, telephone and technology company.

According to the terms of the agreement, the initial project is the return of “Todd McFarlane’s Spawn: The Animated Series.” Spawn is the story of a highly decorated U.S soldier, brutally executed by his own men. Reborn as a creature from hell, he fights a constant battle between the forces of good and evil. The first Spawn series aired on HBO from 1997 through 1999 and won two Emmy awards. Spawn, one of the world’s best-selling comic books with hundreds of millions sold worldwide, has also been the subject of a live action feature film released in 1997. Distributed by New Line Cinema, the movie version of Spawn has grossed over $100 million internationally.

“This agreement is better than Marvelous,” said Jim Courter, IDT’s CEO. “Worldwide, the demand for a new Spawn series continues to grow. Terence Fitzgerald, senior vice president of creative development of Todd McFarlane Productions, will serve as co-executive producer, and Sidney Clifton, senior vice president and head of programming and development for DPS Film Roman, will lead the creative development team on the IDT Entertainment side. Teaming up with IDT Entertainment’s DPS/Film Roman will allow us to take it to the next level of animation technology.”

According to the agreement, in addition to Spawn, Todd McFarlane will create two additional animated properties. Together, IDT Entertainment and Todd McFarlane can revolutionize comic animation and develop franchise properties of enduring value.”

IDT to Deploy America’s First Commercial WiFi Phone Service Ironbound Section of Newark, New Jersey To Be First Area Covered

Newark, N.J., April 22, 2004 – IDT Corporation today announced plans to deploy the first commercial WiFi phone service in the US. IDT’s WiFi phone service will allow users to bypass local phone companies and make domestic and international phone calls via a wireless connection to the internet. IDT plans to initially roll out the WiFi service in select areas of the Ironbound section of Newark, New Jersey. This initial deployment will provide research to help IDT develop the new service as it is rolled out in other areas. The new phone service will utilize Net2Phone’s innovative Voice Over Internet Protocol (VoIP) platform. IDT Corporation (NYSE: IDT, IDT. C), is a multinational carrier, telephone and technology company. In its April 5th issue, Fortune magazine placed IDT 746th in its ranking of America’s top 1000 companies. Based upon results from last quarter IDT has an annualized revenue rate of more than $2 billion.

“IDT is opening up the next frontier in telecommunications,” said Howard Jonas, Chairman of IDT Corp. “By combining WiFi wireless technology with IDT’s global telecommunications network and retail distribution, Net2Phone’s VoIP platform and the fixed wireless infrastructure of IDT Business Services (Winstar), IDT is providing residential consumers with a more affordable and flexible phone service.”

WiFi phone customers will not need their own expensive broadband connection to access the service. IDT will provide wide area WiFi coverage in the targeted neighborhoods. Calls will be routed via Net2Phone’s VoIP platform, and terminated by IDT’s worldwide telecommunications network and infrastructure. IDT Business Services’ (Winstar) fixed wireless network will provide backhaul services for the traffic. IDT is currently deploying its initial network and expects to begin service in Newark within 30-60 days.

“While many are still talking about WiFi phone service, IDT is making it a reality,” said Jim Courter, IDT’s CEO. “IDT is bringing the first commercial WiFi phone service into the marketplace. Not only have we found a profitable application for WiFi, but we’re creating a new industry within telecommunications that can provide basic phone service for a fraction of the cost of traditional phone service.”

IDT’s network is being designed to be compatible with advances in wireless technology. IDT’s WiFi customers will benefit from a seamless transition to WiMax service as that technology matures and becomes more widespread.

“Net2Phone pioneered VoIP,” said Stephen Greenberg, CEO of Net2Phone. “Now, together with IDT, we are launching the next generation in telecom. With IDT’s reach and infrastructure expertise and Net2Phone’s innovative VoIP platform, we are well positioned to ride the burgeoning WiFi network explosion to offer consumers and businesses affordable telephony services.”
“Companies like IDT have led the renaissance of Newark,” said the Honorable Sharpe James, Mayor of the City of Newark. “Believe it or not, there are still people in America who cannot afford basic home phone service. Now IDT is using its technology to bridge the “telecommunications divide.” Because of IDT, Newark becomes the first city in America where affordable WiFi phone service will be commercially available.”
